Thank you for your interest in participating in the Leadership Program (the “Program”) hosted by WE Labs, Inc. dba Jetson (“Jetson” or “we”). These Leadership Program Terms and Conditions (the “Terms”) supplement the Jetson User Agreement and set out specific terms applicable to your participation in the Program.

By signing up for the Program, you agree that you have read, understand, and accept all the terms and conditions contained in these Terms, the Jetson User Agreement, our Privacy Policy, and the Prime Trust LLC Terms of Service. If you do not accept all these terms and conditions, you must not participate in the Program.

Section 1 - Incorporation by Reference

​

The provisions of the Jetson User Agreement and the Jetson Privacy Policy, and any related definitions (unless otherwise specified herein) are incorporated by reference herein and shall be deemed to have the same force and effect as if set forth in full herein.

Section 2 - Eligibility

​

To be eligible to enter into these Terms, you must be at least 18 years of age, be able to legally enter into contracts under applicable law, and reside in the United States. Pursuant to the Jetson User Agreement, you may designate one or more people as Authorized Users of your Jetson Account and the Services, including the Program. Authorized Users may include minor children for whom you are a parent or legal guardian. Any minor who participates in the Program must do so only as authorized by their parent or legal guardian, who must themselves be eligible to agree to these Terms. You understand and acknowledge that these Terms apply to you and any Authorized User, and you expressly accept these Terms on behalf of yourself and each of your Authorized Users.

 

The Program is offered and available to users who are between the ages of thirteen and seventeen, have been designated as an Authorized User as defined in the Jetson User Agreement, and reside in the United States or any of its territories or possessions. By agreeing to these Terms, you represent and warrant that all of your Authorized Users meet all of the foregoing eligibility requirements. If any Authorized Users do not meet all of these requirements, they must not access or use the Program. If we determine that any Authorized Users do not meet any of these requirements their access to the Program will immediately be terminated.

Section 3 - Rules of the Program

​

The Program will consist of receiving opportunities to attend guest lectures, provide feedback on Jetson products, and create content for Jetson.

As you complete the requirements of the Program, you may be eligible to receive in-app credits on Jetson (the “Credits”) in exchange for the satisfactory completion of certain milestones as may be defined and/or revised from time to time by Jetson (the “Jetson Milestones”).

Jetson retains discretion to determine what constitutes a Jetson Milestone and the number of Credits that will be awarded upon reaching any given Jetson Milestone.

Section 4 - No Representation or Warranty

​

Jetson makes no representation, undertaking or warranty whatsoever as to:

• whether the Program will be helpful, useful, suitable, appropriate or otherwise beneficial to the participant;

• any connection between the participant completing the Program and the participant securing employment as a result of completing the Program; and

• the accuracy, validity, legality, quality or applicability of the content of the Site, including any content in the Programs.

Section 5 – Limitation of Liability; Indemnification

​

To the maximum extent permitted by law, in no event shall we be liable for any direct and indirect loss, damage or expense – irrespective of the manner in which it occurs – which may be suffered due to your participation in the Program, or as a result of the inaccessibility of the Program the fact that certain information or materials contained on it are incorrect, incomplete or not up-to-date. Participation in the Program is voluntary and does not require any purchase or payment and is solely intended to provide participants an opportunity to gain educational and professional development and receive Credits in exchange for their participation in the Program. Nothing contained in these Terms is intended to, or will be construed to, create a partnership, agency, joint venture, employment or similar relationship between you (or any of your Authorized Users), and Jetson.

You agree to indemnify, defend and hold harmless Jetson, its agents, suppliers, licensors, affiliates and their respective directors, officers and employees (collectively, the “Indemnified Parties”) against all losses, liabilities, suits, claims, actions, costs, damages and expenses (including, without limitation, reasonable attorneys’ fees and expenses) sustained, incurred or paid by any Indemnified Party directly or indirectly resulting from, arising out of, relating to or in connection with: (i) violation of these Terms by you, any Authorized User or other person using your account or credentials; (ii) your or any Authorized User’s access to or participation in the Program, (iii) any information used, stored, or transmitted in connection with your account or credentials in connection with participation in the Program; (iv) breach of the rights of any third party, including but not limited to privacy, publicity, intellectual property, or other proprietary rights, by you, any Authorized User or anyone using your account or credentials in connection with participation in the Program; or (v) violation of any law, regulation, or other legal requirement in connection with participation in the Program. This paragraph is intended to be applicable to the maximum extent allowed by law.

Section 6 - Severability

​

Any provision of these Terms which is held by a court of competent jurisdiction to be illegal, invalid or unenforceable in such jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such illegality, invalidity or unenforceability and shall otherwise be enforced to the maximum extent permitted by law, all without affecting the remaining provisions of these Terms or affecting the legality, validity or enforceability of such provision in any other jurisdiction.

Section 7 - Termination

​

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to participate in the Program, or when you delete your profile from our Site.

You agree that We, in our sole discretion, may suspend, restrict access to, or terminate your access to the Program, for any reason, including for lack of use or if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms or the Jetson User Agreement. Additionally, you agree that we retain, in our sole discretion, the ability to suspend or terminate the Program for any reason and can therefore end your participation in the Program at any time without notice and accordingly may deny you access to the Program (or any part thereof).

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of these Terms for all purposes.
